ROBIN® EARLY ACCESS AGREEMENT

Welcome! Congratulations on becoming a member of the Robin Early Access Program. You’ll help shape the next generation of real estate software by test-driving a pre-release version of our newest and most exciting product, “Robin.” You’ll have exclusive access to this technology before it is made available to our general Members. The details are below:

A.  Your License. This Agreement is between you and ListReports, Inc. (“ListReports”) and applies to your access and use of the Early Access version of the Robin products and services, as well as the ListReports Platform (the “Early Access Services”), including any updates or upgrades to these Services, as well as any support or other services which ListReports may provide you in connection with the Early Access Program. This Agreement supplements the ListReports Terms of Service and Privacy Policy (the “Terms”) which are hereby incorporated into this Agreement as if fully restated herein. The Early Access Services are part of the LR Services as defined in the Terms and subject to the same rights and restrictions. In the event of any direct conflict between the Terms and this Agreement, this Agreement controls this Early Access Program; otherwise the Terms remain in full force and effect. Any capitalized terms used in this Agreement and not defined have the meaning given to them in the Terms. By accepting our invitation to access the Early Access Services or by otherwise accessing or using the Early Access Services, you become part of our Early Access Program, and you will be agreeing to this Agreement. In addition, you acknowledge that: 

  1. Feedback. As part of the Early Access Program, you will provide ListReports (and only ListReports) feedback and suggestions on the Early Access Services (“Feedback”). You grant ListReports a perpetual, irrevocable, fully-paid license to incorporate your Feedback into ListReports’ products and services including the Early Access Services.

  2. Pre-Release Product. The Early Access Services let you try out pre-release software that is subject to change. ListReports does not guarantee that the Early Access Services will include the same features or functionality in future releases. ListReports may decide, in its discretion, to add or develop additional products or features to include in the Early Access Services or to offer them as separate or upgraded features. 

  3. Voluntary Participation. Your participation in the Early Access Program and use of the Early Access Services is voluntary and you have not received, nor are entitled to, any compensation in exchange for your participation in the Early Access Program.

  4. Personal Release. Except where prohibited by law, in consideration for being permitted to participate in the Early Access Program, you hereby agree and consent, without further authorization, compensation or remuneration of any kind, to the use of any review, endorsement, testimonial, publicly posted information on social media, name, personal story and other biographical information you provide, and your voice and video/image likeness (a “Review”) in any and all advertising, promotions and other publicity conducted by ListReports provided the ListReports first asks for, adequately describes, and you consent to provide a Review. You waive the right to inspect or approve any finished product, including without limitation any written or electronic copy, resulting from any such use, display, or distribution. You understand that (a) you have the right to revoke this release at any time by providing written notice of my revocation to support@listreports.com, and (b) revocation of this release will not affect any actions taken by ListReports in reliance on this release before receiving notice of revocation.

B.  Term. This Agreement may be terminated at any time by either you or ListReports, with or without cause, effective upon notice of termination. Otherwise, this Agreement will remain in effect unless ListReports makes the Early Access Services generally available to Members and you sign a new agreement.

C. Miscellaneous. Except for the above, ListReports makes no representations or warranties to you regarding the Early Access Services, including but not limited to any implied warranties of fitness for a particular purpose. This Agreement is governed by and interpreted in accordance with the internal laws of the State of California without regard to its conflicts of laws principles. Neither party may assign or transfer this Agreement without the prior written consent of the other party.
